GERALD M. MILLER

GERALD M. MILLER graduated cum laude from Northwestern University School of Law in 1975.  He received an undergraduate B.S. Degree in accountancy, graduating with highest honors from DePaul University and he is a Certified Public Accountant.  Following his graduation from law school, Gerry served as law clerk to United States District Court Judge John F. Grady.

 

Gerry practices corporate law, securities and commodities law. He counsels businesses and individuals in raising capital through public and private offerings, including hedge funds, private equity funds and commodity pools where he structures the transactions, prepares offering documents and ancillary agreements and assists clients in regulatory compliance.  He also represents broker-dealers, investment advisors, broker associations, options and futures trading firms and individual traders in formation and operation of their businesses. He has also handled arbitrations and enforcement actions before exchanges and regulatory agencies.  He represents financial service firms, manufacturing and construction firms in all of their needs. Gerry has negotiated, structured and closed numerous business mergers and acquisitions, public and private offerings, financing and loan transactions, lease transactions, employment agreements and executive compensation arrangements. He has also provided services relating to tax planning as it relates to his transactional practice.

 

Additionally, Gerry acts as a business and tax advisor to numerous corporations, limited liability companies, partnerships and individuals, both in their start-up and ongoing activities.  He has drafted hundreds of operating agreement and partnership agreements, along with ancillary agreements addressing loan, employment and buy-sell issues.

 

Concentrating on the varying needs of clients is critical to Gerry’s practice, as is providing creative, practical and successful business strategies attuned to the unique characteristics of each client.  He has made numerous presentations and has authored several articles in the employment, tax, commodities and executive compensation areas and keeps clients continually apprised of developments in his areas of practice. Gerry is a member of the Chicago Bar Association and the Executives’ Club of Chicago.
